Life Sciences startups are at the forefront of critical innovation that helps improve lives and drive advancements and discovery. However, navigating the path from concept to commercialization involves significant legal complexities, particularly during spinning-out from academia and when seeking funding.

During this Expert Class the key legal aspects and considerations are being discussed by legal experts and experienced entrepreneurs will give insights in the lessons learned.

  • What are common discussions / conflicts when distributing shares between founders and knowledge institutions in spinouts?
  • What is the role of participating investors (including convertible loans) in Seed and Series A funding?
  • What to expect from a term sheet? What do topics such as liquidation preference, reserved matters, bad leaver, incentive plans and anti-dilution mean?
  • What about personal liability of founders?

These are the topics that will be addressed.

Led by Carine van den Brink, Partner at Axon Lawyers, and experienced entrepreneurs who have gone through the steps above will share their experiences.
